Terms of Service

Webappery ("we", "us", or "our") provides web development, mobile application development, and technical consulting services. The specific scope of work, deliverables, timeline, and fees for any project will be defined in a separate Statement of Work (SOW) or Project Agreement signed by both parties.

We employ industry-standard practices, including Agile methodologies and version control systems, to deliver high-quality code. While we strive for perfection, the complex nature of software development means we cannot guarantee code is entirely free of non-critical bugs upon initial delivery.

To ensure successful project delivery, the Client agrees to:

• Provide necessary assets, credentials, and feedback in a timely manner (typically within 3 business days).
• Designate a single point of contact with decision-making authority.
• Review staging deployments and provide quality assurance feedback during designated review windows.

Note: Delays in Client feedback may result in project timeline adjustments.

Unless otherwise specified in your SOW:

Late payments may incur a fee of 1.5% per month. We reserve the right to suspend services or withhold IP transfer for accounts more than 30 days overdue.

Upon full payment of all fees, Webappery grants the Client:

• Exclusive, worldwide, perpetual ownership of all custom code, design assets, and content created specifically for the project.
• Non-exclusive license to use any pre-existing Webappery libraries or open-source components incorporated into the project.

Webappery retains the right to display the project in our portfolio and marketing materials unless a specific Non-Disclosure Agreement (NDA) prohibits such display.

In no event shall Webappery's total aggregate liability for all claims related to the services exceed the total fees paid by you to Webappery in the twelve (12) months prior to the event giving rise to the claim.

These Terms of Service shall be governed by and construed in accordance with the laws of Romania. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Romania.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
